These Terms of Use (the “Terms”) govern your access to and use of
https://www.synapse-code.io/ (the “Site”), owned and operated by Sole
Proprietor (FOP)
Valentyn Morozov (ФОП Морозов Валентин Юрійович), Ukraine (“Synapse
Code,” “we,” “us,” or
“our”). By accessing or using the Site, you agree to be bound by these Terms.
If you are a client or vendor, your relationship with us may also be governed by a separate
written agreement (e.g., Master Services Agreement, Statement of Work, or Vendor Agreement). If
there is a conflict between those terms and these Terms, the separate written agreement
controls.
1) Eligibility & use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. The Site
targets business users and is not directed to children.
2) Changes to the Terms
We may modify these Terms at any time by posting an updated version on the Site. Your
continued use constitutes acceptance of the updated Terms.
3) Site content & availability
The Site and its content are provided for general informational and marketing purposes only.
We do not guarantee that the Site, or any content on it, will be available at all times or
free from errors or omissions. We may suspend, withdraw, or restrict the availability of all
or any part of the Site for business and operational reasons.
4) Accounts (if any)
If the Site offers accounts or portals, you must provide accurate information, keep your
credentials confidential, and notify us promptly of any unauthorized access. You are
responsible for activities under your account.
5) Acceptable use
You agree not to:
- Copy, modify, create derivative works from, publicly display, or distribute Site content
except as expressly permitted
- Reverse engineer, decompile, or attempt to extract source code of any software on the
Site
- Access or search the Site by any means other than our publicly supported interfaces (no
scraping, crawling, or bulk harvesting)
- Upload or transmit viruses, malware, or other harmful code
- Interfere with or disrupt the integrity or performance of the Site or related systems
- Use the Site to send unlawful, defamatory, or infringing content, or to violate
third‑party rights
6) Intellectual property
All content, features, and functionality on the Site (including text, graphics, logos, code,
and design) are owned by us or our licensors and are protected by IP laws. Subject to these
Terms, we grant you a limited, revocable, non‑transferable license to access and use the
Site for your internal business purposes. No rights are granted except as expressly set out
here.
You grant us a perpetual, worldwide, royalty‑free license to use feedback or suggestions you
submit about the Site or our services without restriction.
7) Third‑party links
The Site may contain links to third‑party websites or services that are not owned or
controlled by us. We are not responsible for their content, policies, or practices. Access
is at your own risk.
8) Confidential information
Do not submit confidential or proprietary information via public forms on the Site. If you
need to share confidential information, request an NDA and a secure channel.
9) Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT
WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SITE
WILL BE ERROR‑FREE OR SECURE.
10) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF
PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE
SITE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE SHALL NOT EXCEED EUR
10,000 OR THE AMOUNTS (IF ANY) YOU PAID US SPECIFICALLY FOR SITE ACCESS IN THE 12 MONTHS
PRECEDING THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER. SOME JURISDICTIONS DO
NOT ALLOW CERTAIN LIMITATIONS; THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.
11) Indemnification
You agree to defend, indemnify, and hold harmless Sole Proprietor (FOP) Valentyn
Morozov
(ФОП Морозов Валентин Юрійович), Ukraine and its officers, directors,
employees, and
agents from and against any claims, liabilities, damages, losses, and expenses (including
reasonable legal fees) arising out of or in any way connected with your use of the Site or
violation of these Terms.
12) Governing law & venue
These Terms and any dispute are governed by the laws of Ukraine, without
regard to
conflict of laws. The courts of Kyiv, Ukraine shall have exclusive
jurisdiction.
13) Export & sanctions compliance
You represent that you are not located in, and are not a resident or national of, any country
or region subject to comprehensive sanctions, and are not on any restricted party list. You
agree to comply with applicable export control and sanctions laws.
14) Termination
We may terminate or suspend access to the Site immediately, without prior notice or
liability, for any reason, including if you breach these Terms. Upon termination, your right
to use the Site will cease immediately.
15) Notices & electronic communications
By using the Site, you consent to receive communications from us electronically. Legal
notices may be provided by email to info@synapse-code.io or by posting on the Site. You may
send notices to us at info@synapse-code.io.
16) Miscellaneous
- Entire agreement. These Terms are the entire agreement between you and
us regarding Site use.
- Assignment. You may not assign these Terms without our prior written
consent. We may assign them as part of a corporate transaction.
- Severability. If any provision is unlawful or unenforceable, the
remainder stays in effect.
- Waiver. Failure to enforce a provision is not a waiver.
